Terms of Use
These Terms of Use govern your access to and use of lilyhousestudio.com, Lily House Studio publications, online forms, and related digital experiences that link to these Terms.
1. Acceptance of these Terms
By accessing or using the Services, you agree to these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree to these Terms, please do not use the Services.
These Terms apply to general use of the Services. A separate written agreement may govern a production, partnership, license, purchase, engagement, or other commercial relationship with Lily House Studio. If a separate signed agreement conflicts with these Terms, that agreement controls for the subject matter it covers.
2. Who we are and what these Terms cover
Lily House Studio (“Lily House Studio,” “we,” “us,” or “our”) is an independent media studio based in Los Angeles, California. These Terms apply to lilyhousestudio.com and Lily House Studio online publications, forms, reports, and related digital experiences that link to these Terms (collectively, the “Services”).
3. Use of the Services
You may use the Services for lawful personal, professional, and informational purposes. You are responsible for your own access to the Services and for information you choose to provide through our forms or correspondence channels.
You may not use the Services in a way that violates applicable law, infringes the rights of others, interferes with the operation or security of the Services, or attempts to gain unauthorized access to systems, accounts, data, or content.
4. Editorial and informational content
Lily House Studio publishes films, programming, essays, reports, newsletters, and other editorial material. This content is provided for general informational, editorial, cultural, and creative purposes. It should not be treated as legal, financial, medical, investment, or other professional advice.
We may discuss companies, platforms, products, markets, cultural trends, or third-party sources as part of our editorial work. References to a third party do not necessarily imply endorsement, affiliation, sponsorship, or a commercial relationship.
5. Intellectual property
Unless otherwise stated, the Services and original content made available through them, including Lily House Studio names, marks, designs, text, photographs, video, audio, reports, graphics, programming concepts, and other creative material, are owned by or licensed to Lily House Studio and are protected by applicable intellectual-property laws.
You may view and use publicly available content for your own lawful, noncommercial reference. You may not reproduce, republish, distribute, sell, license, modify, create derivative commercial works from, or commercially exploit Lily House Studio content without permission, except as allowed by law or a separate written license.
Third-party names, marks, content, and materials remain the property of their respective owners.
6. Visions and other publication communications
If you subscribe to Visions or another Lily House Studio publication, request a Market Shift Report through a subscription form, or otherwise expressly opt in, we may send the publication and related subscriber communications described at signup.
You may unsubscribe from recurring publication or marketing emails at any time using the unsubscribe link included in those emails. Transactional, administrative, or direct correspondence may still be sent when reasonably necessary to fulfill a request or manage an existing relationship.
7. Messages, inquiries, and information you provide
You retain ownership of the original content of messages or materials you submit through our forms or correspondence channels. By submitting information, you authorize Lily House Studio and its service providers to use, store, and process that information as reasonably necessary to respond to you, provide the requested resource, evaluate an inquiry, maintain appropriate records, protect the Services, and otherwise operate as described in our Privacy Policy.
Please do not send confidential, proprietary, or sensitive information unless we have specifically agreed to receive it. Sending an unsolicited idea, pitch, treatment, concept, or creative submission does not create a confidential, fiduciary, employment, partnership, or other special relationship.
8. Partnership and commercial inquiries
Founding Partner Kits, partnership pages, programming materials, decks, reports, category descriptions, and other commercial materials are provided for evaluation and discussion. Requesting materials, submitting a partnership form, joining a meeting, or discussing a possible opportunity does not create a partnership, sponsorship, agency, joint venture, exclusivity right, reservation, or other binding commercial relationship.
A commercial relationship exists only when the applicable parties enter into a written agreement. Availability, category status, inventory, scope, timing, rights, pricing, and other commercial terms may change before an agreement is executed.
9. Third-party services and links
The Services may use or link to third-party tools and services, including providers used for email delivery, forms, customer-relationship management, hosting, analytics, media, or other operational functions. Those third parties may have their own terms and privacy practices.
Lily House Studio is not responsible for the availability, security, accuracy, content, or independent practices of third-party websites or services that we do not control.
10. Prohibited conduct
When using the Services, you agree not to:
- use the Services for unlawful, fraudulent, abusive, or deceptive activity;
- attempt to bypass security measures or access nonpublic systems, data, or accounts without authorization;
- introduce malware, malicious code, or other technology intended to disrupt or damage the Services;
- impersonate another person or misrepresent your authority to act for a company or organization;
- scrape, harvest, or collect personal information from the Services in violation of law or in a manner that materially burdens the Services; or
- use Lily House Studio intellectual property in a manner that falsely suggests endorsement, affiliation, or authorization.
11. Privacy
Our Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with the Services. By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy.
12. Disclaimer of warranties
To the extent permitted by law, the Services are provided on an “as is” and “as available” basis. We do not guarantee that the Services will always be uninterrupted, error-free, secure, current, or suitable for every purpose, or that any particular editorial, business, commercial, or other result will follow from use of the Services.
Nothing in these Terms excludes any warranty or right that cannot lawfully be excluded.
13. Limitation of liability
To the extent permitted by law, Lily House Studio and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Services.
Nothing in these Terms limits liability that cannot lawfully be limited or excluded.
14. Changes to the Services or these Terms
We may update the Services and these Terms as our offerings, technology, vendors, or legal obligations change. When we make changes to these Terms, we will revise the “Last updated” date above. Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
15. Suspension or termination
We may restrict or suspend access to all or part of the Services when reasonably necessary to protect the Services, comply with law, address misuse, or maintain security. You may stop using the Services at any time.
16. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise. Subject to any mandatory law that provides otherwise, disputes relating to these Terms or the Services will be brought in state or federal courts located in Los Angeles County, California.
17. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver of the right to enforce it later.
These Terms, together with the Privacy Policy and any separate agreement that expressly applies to a particular transaction or relationship, form the applicable terms between you and Lily House Studio concerning the Services.
